Terms of Service
These Terms of Service ("Terms") govern the use and subscription to the APPROSEARCH service offered by [LEGAL NAME] ("Provider" or "APPROSEARCH"). Use of the service implies express and unreserved acceptance of these Terms.
1. Object
APPROSEARCH provides a SaaS search engine with artificial intelligence for e-commerce stores, including hybrid BM25 + semantic search, voice and image search, admin panel, platform integrations, API and analytics.
2. Subscription and plans
APPROSEARCH offers four monthly subscription plans, described at /en/pricing/:
- Start — €19.00/month
- Growth — €59.00/month
- Scale — €89.00/month
- Enterprise — €279.00/month
Prices exclude VAT. EU customers outside Spain apply reverse charge where applicable. Non-EU customers are exempt from Spanish VAT.
3. Trial period
The Provider offers a 14-day free trial with access to Growth plan features, no credit card required. After the trial without active subscription, the account becomes inactive with no charge.
4. Billing and payment
- Monthly or annual billing at customer's choice.
- Payment via credit/debit card or bank transfer (annual and Enterprise plans).
- Invoices automatically issued and emailed.
- Non-payment exceeding 15 calendar days may suspend service after notice.
5. Duration and renewal
All plans are non-binding and renew automatically unless expressly cancelled with at least 24 hours notice before expiration.
6. Cancellation and refund
Customers may cancel anytime from the admin panel or via email to hola@approsearch.com. Cancellation takes effect at the end of the current billing period.
7. Service level (SLA)
Monthly uptime guarantee: 99.9% (Scale and Enterprise) or 99.5% (Start and Growth), excluding planned maintenance announced with at least 48 hours notice. Service credits apply on SLA breach:
- Uptime < 99.9% and ≥ 99.0%: 10% credit on monthly fee.
- Uptime < 99.0% and ≥ 95.0%: 25% credit.
- Uptime < 95.0%: 50% credit.
8. Intellectual property
The Provider retains all IP rights on software, brand, logos and documentation. The customer receives a non-exclusive, non-transferable, revocable license for service use during the contract term. The customer retains all rights over catalog data and end-user generated data. The Provider acts as Data Processor under art. 28 GDPR; specific conditions in the DPA.
9. Confidentiality
Both parties undertake to maintain the confidentiality of information exchanged during the contractual relationship. This obligation survives for 3 years after contract termination.
10. Limitation of liability
Except in cases of willful misconduct or gross negligence, the Provider's total liability is limited to the amount actually paid by the customer during the 12 months preceding the event giving rise to the claim. The Provider is not liable for indirect damages, lost profits, customer-induced data loss, or force majeure.
11. Modification of Terms
The Provider may modify these Terms with at least 30 calendar days notice before entry into force. If the customer does not accept the modifications, they may terminate the contract without penalty.
12. Contract termination
- Non-payment exceeding 30 days after notice.
- Fraudulent or illegitimate use.
- Material breach of these Terms not remedied within 15 days after notice.
13. Governing law and jurisdiction
These Terms are governed by Spanish law. Disputes shall be submitted to the Courts of [CITY], save for the consumer's mandatory right to file at their place of residence.
14. Online dispute resolution
Pursuant to Regulation (EU) 524/2013, the EU online dispute resolution platform is available at https://ec.europa.eu/consumers/odr/.
